Terms of Service

Effective 15 April 2026

These Terms of Service govern your use of theledger.estate and the concierge services we provide. Please read them carefully. By using the Site or submitting an inquiry, you agree to these Terms.

A clear statement of what we are. The Ledger is not your listing broker. We do not list, show, market, or sell your property. We prepare a professional package for qualifying homes and invite the top-ranked licensed agents in your ZIP to submit competing proposals. You choose the agent you wish to list with. We facilitate the introduction as a cooperating broker and are compensated by that agent’s broker on close.

I.Agreement

By accessing or using theledger.estate (the “Site”) or submitting an application, you (“you” or “Seller”) agree to be bound by these Terms of Service (the “Terms”). The Site is operated by The Ledger (“we,” “us,” or “our”). If you do not agree to these Terms, do not use the Site.

II.Nature of the Service

The Ledger provides a concierge service that: (a) professionally packages qualifying residential properties with photography, video, and property-records intelligence; (b) invites the five top-ranked licensed real estate agents in your ZIP code by verified MLS dollar volume; (c) receives structured written proposals from those agents; and (d) presents you with a side-by-side comparison document for your review and selection.

We are a licensed real estate brokerage acting as a referring broker. We are not your listing broker. No listing, buyer, or dual-agency representation is created between you and The Ledger by your use of the Site or submission of an application.

III.Eligibility

The Service is available only for residential properties with an expected sale price of $1,000,000 USD or greater located in South Florida (Aventura to Boca Raton and surrounding areas). By submitting an application, you represent and warrant that:

  • you are the sole owner of the property, or an authorized representative of the owner with full power to engage our service;
  • the property is not currently subject to an exclusive listing agreement with another brokerage, or such agreement has been lawfully terminated;
  • the information you provide is accurate and complete to the best of your knowledge;
  • you are at least 18 years of age and legally able to enter into a contract.

IV.Your Information

Information you submit will be handled in accordance with our Privacy Policy. By submitting an application you consent to our collection, use, and sharing of your information as described there, including sharing your property details with the invited agents for the purpose of preparing their proposals.

V.No Guarantees

Proposals received from invited agents represent the independent opinions of those agents as to price, terms, and strategy. They are not guarantees of any sale price, time to close, buyer interest, or other outcome. Actual market results depend on many factors beyond any agent’s or The Ledger’s control. You should consult your own legal, tax, and financial advisors before signing a listing agreement with any agent.

VI.Fees and Compensation

You pay no fee to The Ledger. Our packaging, invitation, and comparison services are provided to qualifying sellers at no cost. Upon closing with an agent introduced through the Site, the closing broker pays The Ledger a referral fee, which is customarily twenty-five percent (25%) of the listing-side gross commission, pursuant to a separate broker-to-broker referral agreement between the brokerages.

The commission you pay to your chosen agent’s brokerage is a separate matter governed by your listing agreement with that brokerage.

VII.Non-Circumvention

For a period of twelve (12) months from the date of introduction, you agree not to knowingly engage or transact with any agent introduced to you through the Site outside of the broker-to-broker referral arrangement described above, for the purpose of avoiding the referral fee. This provision is a material consideration for our provision of the Service at no cost to you.

VIII.Intellectual Property

All content on the Site - including text, layout, imagery, proposal templates, brand marks, and the proposal comparison format itself - is the property of The Ledger or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may view and print content for your personal, non-commercial use in connection with your application. You may not reproduce, distribute, sublicense, or create derivative works without our prior written consent.

IX.Third-Party Services

The Site relies on third-party services for hosting, email delivery, analytics, and related functions. Your use of the Site may cause limited information to be transmitted to those providers for the purposes described in our Privacy Policy. We are not responsible for the practices of third parties.

X.Disclaimers

The site and service are provided on an “as is” and “as available” basis. to the fullest extent permitted by law, the ledger disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. we do not warrant that the site will be uninterrupted, error-free, secure, or free of harmful components.

XI.Limitation of Liability

to the fullest extent permitted by law, the ledger and its officers, directors, employees, affiliates, and agents will not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the site or the service, even if advised of the possibility of such damages. our total aggregate liability for any claim arising out of or relating to the site or the service will not exceed one hundred united states dollars ($100).

XII.Indemnification

You agree to defend, indemnify, and hold harmless The Ledger and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) any information you submit; or (d) any transaction you enter into with an agent introduced through the Site.

XIII.Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction and venue of those courts.

XIV.Changes to These Terms

We may update these Terms from time to time. Material changes will be identified by an updated effective date at the top of this page. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.
